PeopleSoft Sends Letter to Oracle

PLEASANTON, Calif. — November 20, 2004 - PeopleSoft, Inc. (Nasdaq: PSFT) today sent a letter to Lawrence Ellison, Chief Executive Officer and Jeffrey Henley, Chairman of Oracle Corporation (Nasdaq: ORCL). The full text of the letter follows:

November 20, 2004

Oracle Corporation
500 Oracle Parkway
Redwood Shores, CA 94065
Attention:
Lawrence J. Ellison, Chief Executive Officer
 Jeffrey O. Henley, Chairman

Dear Messrs. Ellison and Henley:

PeopleSoft’s Board of Directors received your letter dated November 19, 2004. Our Board has met and considered the results of Oracle’s unsolicited tender offer and unanimously reaffirmed its previous conclusion that the offer is inadequate and that the Company is worth substantially more than $24 per share.

Based on the numerous conversations we have had with our largest stockholders over the past ten days, our Board is convinced that a majority of our stockholders agree that your $24 offer is inadequate and does not reflect PeopleSoft’s real value. This majority is comprised of stockholders who did not tender their shares, as well as stockholders who tendered but told us that they believe PeopleSoft is worth more than $24 per share.

As members of our Board have testified in Delaware and as members of the Transaction Committee told Ms. Catz and Mr. Phillips on November 10, we would be willing to discuss an offer made by Oracle at an appropriate price — but $24 is not that price.

Just considering our installed base of customers and growing maintenance revenues, PeopleSoft is worth materially more today than when you made your inadequate $26 offer in February. Since the beginning of the year, we have added 418 new license customers, creating additional future annuity revenue and cross-sell opportunities, increased our outlook for forward maintenance revenue by 18% and generated nearly one dollar per share in cash.

If Oracle is prepared to offer an appropriate price that reflects both PeopleSoft’s intrinsic value and our value to Oracle, please contact me directly.

Very truly yours,

A. George “Skip” Battle
Chairman, Transaction
Committee

cc: Oracle Corporation Board of Directors

Missing Person - Sydney West last seen Golden Gate Bridge

PLEASANTON, CA — A vigil to find Sydney "Syd" West, who was raised in Pleasanton and has not been seen or heard from in three weeks, is slated for 6 p.m. Thursday.

Residents will gather at Lions Wayside Park (4401 First St.) to bring together her community, celebrate their love for her and keep up the momentum to find her, organizers said. Remarks and an open microphone session will begin at 6:15 p.m.

West was a University of California, Berkeley student until recently, San Francisco police said. She was living with friends in San Francisco when she disappeared and was last spotted near the Golden Gate Bridge at Crissy Field before dawn Sept. 29.

"This is every parent's nightmare and all we want is our daughter Sydney to be found safe and brought home to our family," said West's father in a plea for help.

West, 19, was born in Walnut Creek and lived briefly in Castro Valley before her family moved to Pleasanton. She was a student at Donlon Elementary and Hart Middle schools and attended Foothill High School for her freshman and sophomore years.

Her family relocated to North Carolina in July 2017. West's parents, Jay and Kimberly West, will attend Thursday's vigil, along with her great-uncle and aunt, Peter Kadzik and Amy Weiss.

The San Francisco Police Department and a private investigator are following up on leads in the case, and her family asks that Bay Area residents continue to share her missing-person flyers and Facebook page, Weiss said.

"We know her last location was near the Golden Gate Bridge/ Chrissy Field very early in the morning on Wednesday (Sept. 30). The family needs assistance from those who run/walk/bike/commute in that area in the early mornings," Weiss added.

Stay in the loop about her case on Facebook or Instagram, and tag posts with #FindSydneyWest.
Anyone with information is urged to contact investigators at the San Francisco Police Department's 24-hour tipline at 415-575-4444.

CA-Missing Person: California mom disappears after leaving for pandemic road trip

Authorities are asking for the public's help in locating a missing California mom who vanished after leaving for what she called a "pandemic road trip," according to her family.

Erika Lloyd, 37 of Walnut Creek, California, disappeared more than a month ago, after embarking on a seven-hour drive to Joshua Tree National Park on June 14. Family members said they lost contact with her two days later.

Authorities located her black Honda Accord, abandoned and damaged, that same day near Twentynine Palms, a city located in the southern Mojave Desert, about 500 miles from her hometown and not far from her vacation destination.

The front and back windshields of Lloyd's car were broken, but police said there were no signs of foul play at the scene.

"We both feel like that she could still be out here, she could be with people, somebody could have taken her in," her father, Wayne Lloyd, told ABC affiliate KESQ. "We are hopeful as of this time the sheriff's department hasn't seen anything negative."

Nathan Lewis, a ranger at the Joshua Tree park where the vehicle was found, said it's unclear if Lloyd had camped there before she disappeared.

"When the vehicle was noticed inside of the campgrounds there was no camping equipment directly associated with or in the vicinity of it," Lewis told KESQ. "So we can't confirm or deny that the individual camped or stayed in the park."

They said she took the trip to help get her mind off the ongoing pandemic.

"She seemed like she was fine," her mother Ruth Lloyd told KESQ. "Being in lockdown for almost three months not being able to work and she was trying to home school her son, it was starting to get to her, the pressure and not having any income."

She said she fears that her daughter may have gotten into an accident and became disoriented.

"We don't know if she had some memory loss when she got hit by the airbag," Ruth Lloyd said. "Maybe she doesn't know who she is, we don't know, we aren't sure about her mental state."

Ruth Lloyd said she's been helping to care for her daughter's 12-year-old son, who hasn't stopped asking about her since she left.

"Are you calling about my mom? Are you talking to people? Wayne would say, Yeah, we are trying to find your mom. So he misses her," Ruth Lloyd said. "We know we are not the only family that has gone through this."

The family said it's working with Doug Billings, a cave and mine expert, who helped locate the body of 19-year-old Erin Corwin in a mine near Joshua Tree in 2014.

"In this case, I know the area particularly from the Erin Corwin search," said Doug Billings. "But it's the same general area, just a little less isolated than Erin's case."

"We hiked up and down the washes and canyons that are at the foothill of the mountains there," he added.

Police said anyone with information on Lloyd's whereabouts should contact the Walnut Creek Police Department or the Morongo Basin California Highway Patrol office, which is investigating the case.

Letter to DA alledged help from Yaeger's Group based in Atlanta. Children recovered around 2010 mothers missing persons report surfaced on FBI site in 2019. Pete Bennett traced Stratton via court records to Neil Stratton, using Transparent Californa discovered Captain Stratton retired from the Walnut Creek Police Department. Bennett forwarded details to Chief Tom Chaplin in 2019. FBI pulled missing persons report. Bennett was able to preserve parts of the FBI no longer public.

1998-01-13 04:00:00 PDT ANTIOCH -- The FBI has joined the search for a missing Antioch woman who allegedly kidnapped her two young children last month during an acrimonious custody dispute.

The Federal Bureau of Investigation formally entered the hunt for Elizabeth Stratton last Friday after Antioch Police Department detectives concluded she had likely fled the state, Antioch Sergeant Bob Barmore said yesterday.

Federal authorities have issued a no-bail arrest warrant charging Stratton with two counts of kidnapping. "This will allow us to look for her anywhere in the world," said FBI spokesman George Grotz. He declined to say whether investigators think Stratton is out of the country.

Stratton, 39, was last seen by a neighbor putting

her children Zachary, 9, and Chelsea, 6, into a car on December 16. Stratton said she was going to visit relatives, but in letters mailed to family members, the FBI and the Polly Klaas Foundation, she said she planned to hide her children to protect them from their father, Michael Smith of Walnut Creek.

The couple divorced in 1994 after a bitter two-year separation that included unproven allegations by Stratton that Smith had molested the children. Smith has denied the accusations, and no charges have been filed against him.

Smith, who works for a medical instruments company in Pleasanton, has not seen his son or daughter since December 10 and will ask for permission today from a family law judge to stop paying $825 a month in child support until his children are found.

"I'm happy to pay child support if I get to see my children," he said. "But if my children have been taken from me criminally, why should I be obligated morally to pay?"

Police are concerned that Stratton is determined to stay underground. Detectives who searched her home on December 23 discovered she had left almost everything behind, including identification, a checkbook and credit cards. The only items she appeared to have taken were a VCR and a Nintendo video game.

Although child abductions aren't rare in contentious custody disputes, police say the length of Stratton's disappearance is unusual. And the FBI's involvement is also a rarity. Grotz said federal agents handle "very few" such cases each year in the Bay Area.
